Ennis to Acquire Stock of The Flesh Company and Impressions Direct

Midlothian, TX-based Ennis, Inc. (asi/52493), a Top 40 promotional products supplier as recently as 2017, has announced the signing of a share purchase agreement to acquire all the outstanding stock of The Flesh Company and its subsidiary, Impressions Direct. Financial terms of the deal were not released.

Ennis will buy the stock for cash, and the price is subject to certain working capital and escrow adjustments, the company said. Additional consideration in the form of an earn-out is also being established. Flesh had approximately $31.1 million in sales for the twelve months ended September 30, 2018 and sells mainly to distributors and resellers.

Operations will continue under The Flesh Company and related brand names. All of the facilities will continue their normal operations in their current locations. Fenton, MO-based Flesh has two locations: its corporate office and direct mail operations are housed in St. Louis, and its manufacturing facility and warehouse are located in Parsons, KS.
